UAE Small Business Relief Extended to 2029: Who Still Qualifies?

UAE Small Business Relief Extended to 2029: Who Still Qualifies?

UAE Small Business Relief Extended to 2029

Hearing the news of the extension of the Small Business Relief until 2029 was great news, especially among the startups, SMEs, and solo entrepreneurs across the Emirates.

This was decided and released under Ministerial Decision No. 131 of 2026, that all eligible resident businesses can continue to elect for zero Corporate Tax for all tax periods ending on or before December 31, 2029.

The initial decision of this benefit was effective until the end of 2026; based on the new decision, the benefit has now been extended to 3 more financial periods, giving the business more time to enjoy the benefit. Additionally, the rules of qualification have not been changed, irrespective of the extended period of benfit given.

Let us now understand in detail who can get the benefit of Small Business Relief, how it works and what would be the requirements for the business to stay compliant.

What Is UAE Small Business Relief?

In simple words, it is ZERO tax for eligible entities that have an annual turnover less than AED 3M for the taxable year; this is well drafted in Article 21 of the UAE Corporate Tax Law (Federal Decree-Law No. 47 of 2022).

What are the benefits of electing for SBR?

· Zero Corporate Tax

o You pay 0% Corporate Tax, regardless of your profit margin for that period if your annual turover for that period is less then AED 3M.

· Simplified Compliance

o For small/new business entites who do not have much turnover, this will be helpful. As they will be out of the requirements of commplex taxable income calculations, full Transfer Pricing documentation requirements and detailed tax return reporting.

Who Qualifies for Small Business Relief in the UAE?

This is the main aspect to understand. Not every business entity can avail this benefit. In order to claim the SBR, every business must meet all the following conditions:

1. UAE Resident Person Status

The relief is strictly available to UAE Resident Persons; this includes juridical entities incorporated in the UAE (LLCs, Free Zone companies) and natural persons (freelancers/sole proprietors) conducting a business or business activity in the UAE.

However, foreign entities operating through a Permanent Establishment or branch in the UAE are excluded from enjoying the benefit.

2. The AED 3 Million Revenue Threshold

· The gross annual revenue of the business must not exceed AED 3,000,000 in the relevant tax period

· AND it should not have exceeded AED 3,000,000 in all previous tax periods starting on or after June 1, 2023.

3. Continuous Compliance History

In the scenario where the business's gross annual revenue exceeded AED 3 million in any of the previous tax periods starting on or after June 1, 2023, the entity will permanently lose its eligibility to elect for Small Business Relief in all subsequent tax periods, even if your revenue drops back below AED 3 million in the later tax periods. This means losing the benefit once cannot make you eligible in the future.

Who Is Excluded from Small Business Relief?

Though this is a common relief given to businesses in the UAE who meets the above conditions, there are still entities that cannot elect for SBR. If it falls into any of the following categories:

· Qualifying Free Zone Persons (QFZPs):

o Free Zone entities that have qualified to become a QFZP, to enjoy the 0% tax on their Qualifying Income, cannot elect for SBR.

· Multinational Enterprise (MNE) Groups:

o Entities that are part of a consolidated MNE group with group revenues exceeding AED 3.15 billion.

· Non-Resident Persons / Foreign Branches:

o Any kind of overseas entities which is operating in the UAE without local residency status cannot access the relief.

Key Mistakes to Avoid When Claiming SBR

1. Assuming Relief Is Automatic: SBR is an election-based relief, which has to be confirmed during your annual tax filings every year. Which means even for entities which qualify under SBR, the requirements of Corporate Tax registration, Annual filings and proper bookkeeping is mandatory.

2. Artificial Business Separation: Now being said that any entities annual turnover is less than AED 3M qualifies for this 0% tax benefit, splitting a single business into multiple licenses or corporate entities to keep each below the AED 3 million threshold is considered illegal under the General Anti-Abuse Rules (GAAR). Upon finding these, the Federal Tax Authority (FTA) can cancel these artificially separated structures, recover back taxes and levy hefty administrative fines.

3. Miscalculating Gross Revenue: It is important to understand what goes into the calculation of the annual gross revenue. Ignorance cannot be acepted as an excuse.

4. Ignoring Forfeited Tax Losses: This is one of the major points for the business entity to decide if they have to elect SBR or not. As electing SBR means any tax losses or net interest expenditure incurred during the tax period cannot be carried forward to offset future taxable income.

Frequently Asked Questions: UAE Small Business Relief Extended to 2029

1. What is this Small Business Relief (SBR) thing all about in the UAE?

Small Business Relief is an option in UAE Corporate Tax law that lets you opt out of paying tax altogether. You basically get a free pass on tax if your business is a UAE resident and not too big - we're talking annual revenue under 3 million AED. Which, of course, is a doddle to achieve.

2. I thought SBR was only going on until the end of 2026?

Well, think again because it's been extended until the end of 2029 thanks to Ministerial Decision No. 131 of 2026. That means eligible businesses get an extra three years of tax-free bliss - a total of nine years in fact. So, don't worry if you missed the deadline because now you've got more time to get sorted.

3. How much can my business actually earn and still get SBR?

Not much. Your business needs to be earning less than 3 million AED in the year you're applying for SBR and its been earning less than that in any of the years since June 2023.

4. Who's eligible for Small Business Relief in the UAE?

Pretty much anyone who runs a business in the UAE and meets the revenue limit. So that includes UAE incorporated companies, freelancers and sole proprietors - anyone who operates a business in the UAE as long as they fall under the revenue limit.

5. Who can't get Small Business Relief?

There are a few groups who get a big fat NO from the UAE taxman. These are:

  • Qualifying Free Zone Persons (QFZPs) - usually because they're not resident in the UAE\

  • Multinational companies with lots of revenue (over 3.15 billion AED)\

  • Non-resident business owners (like foreign companies operating in the UAE through a branch)

6. Do I get SBR just because my business qualifies?

No, of course you don't. You have to actively choose to get SBR when you file your tax return. Which means registering for Corporate Tax, all that boring stuff. You basically have to opt-in, even though you're eligible.

7. What happens if I start earning too much?

Well, you lose your special tax free status and can't get it back. Ever. So, if you go over the limit - which is 3 million AED - you'll need to be keeping an eye on your finances.

8. Some sneaky business owner asked - Can I split my business into loads of tiny companies to stay under the limit?

Good luck trying. Splitting your business up just to stay under the limit is a big no-no and can get you into loads of trouble. This is one of those special rules called General Anti-Abuse Rules (GAAR) and if you try it, the taxman will not be pleased.

9. Are there any downsides to electing to get Small Business Relief?

Well, yes. One thing to bear in mind is that if you have losses or interest that you want to use against future profits, you can't do that if you're making use of SBR. So, this is something to think about before you choose to go down this route.

10. Do I still need to file a tax return if I choose to get Small Business Relief?

You bet you do. While you're avoiding a big chunk of boring tax calculations, you're still going to have to register and file a tax return. (SSK)*
